Terms of service

Effective 1 October 2026

1. Parties

These terms apply between NUWIAX, a sole proprietorship of Muhammad Haris Sultan in Pakistan ("we"), and the business that engages us ("you"). A signed statement of work (SOW) sets the scope, price and timeline and takes priority where it differs from these terms.

2. Services

We design and build the systems in the SOW (the "build") and run them for a monthly fee (the "plan"), which includes NUWIAX Operate.

3. Fees and payment

  • Fees are in US dollars unless the SOW says otherwise.
  • Build fees: 50% at the start, 50% after the system passes shadow mode, unless the SOW says otherwise.
  • Plans are invoiced monthly in advance. AI usage above the plan's limit, call minutes and third-party platform fees are billed at cost.
  • Invoices are due within 14 days, by international bank transfer (for example Payoneer or Wise).

4. Your responsibilities

  • Provide the accounts, access, catalog, policies and information we need.
  • Use the systems within platform rules and the law, including consent rules for calls and messages.
  • Staff the handovers the system sends to your team.

5. Platform risk

Meta, TikTok, carriers and AI providers set and change their own rules. We build within them and adapt when they change, but we do not control their decisions.

6. AI output

AI systems can make mistakes. Ours are designed to hand over when unsure and are monitored, but you remain responsible for commitments made to your customers.

7. Intellectual property

You own your data and business-specific content. We keep our reusable components and know-how, and license them to you for as long as you use your system.

8. Confidentiality

Each party keeps the other's confidential information private. We do not name you as a client without permission.

9. Data protection

When we process your customers' personal data, we act as your processor under our privacy policy, and sign a data processing agreement on request.

10. Liability

To the extent the law allows, neither party is liable for indirect losses, and our total liability is limited to the fees you paid in the three months before the claim.

11. Ending

Either party may end the plan with 30 days' written notice. We then hand over your data and configuration in a usable form.

12. Governing law

The laws of Pakistan, unless the SOW names another jurisdiction.
